1. Introduction

These Terms and Conditions ("Conditions") govern your use of our website, web application, and any related services (collectively, the "Platform"). They also apply to all experiences, activities, events, and partner-venue access offered or facilitated by The Modernists ("Experiences"). By applying for, purchasing, or using any membership, you confirm that you have read, understood, and agree to these Conditions.

2. Acceptance of Conditions

By accessing or using the Platform or participating in any Experience, you agree to be bound by these Conditions. We may update these Conditions at any time. If you continue to use the Platform or attend Experiences following an update, you are deemed to have accepted the revised Conditions. If you opt into marketing communications, you consent to receiving messages through email, SMS, or other approved channels; you may opt out at any time.

3. The Modernists Platform

The Modernists facilitates the discovery, booking, and participation in Experiences hosted by independent clubs, co-working spaces, wellness spaces, and other third-party venues ("Venues").

• We do not own, operate, or control Venues.

• We are not responsible for Venue staff, facilities, policies, or operations.

• All visits to Venues are undertaken at your own risk.

4. Member Conduct at Partner Venues

You must always behave respectfully and comply with Venue-specific rules.

• You must follow all health, safety, and conduct guidelines issued by each Venue.

• Misconduct, nuisance, or behaviour likely to cause harm, offence, or reputational damage may result in immediate suspension or termination of your membership without refund.

• You are personally liable for any damage, loss, or unpaid charges incurred at a Venue.

• The Modernists accepts no responsibility or liability for disputes, damage, injury, or loss arising at any Venue.

5. Data Sharing & Privacy

By signing up to The Modernists, you acknowledge and consent that certain personal data (including your name, membership status, and booking details) may be securely shared with partner Venues for the purpose of verifying your membership and facilitating access.

• Data sharing is conducted under strict contractual controls and in line with UK GDPR.

6. Membership Options

A. Individual Memberships (B2C)

7. The Modernists Key

This membership costs £1,200 per year (default) or £120 per month. It includes:

• Four (4) total visits per month across all partner Venues and Modernists-hosted events.

• Access to community events.

Each Venue may set its own restrictions on frequency of visits.

2. The Modernists Trial Key

This membership requires a £250 joining fee, which is strictly non-refundable. It includes:

• Access to Modernists community events only.

You may upgrade to The Modernists Key at any time.

3. Les Amies of The Modernists

This is an invitation-only complimentary membership.

• It mirrors The Modernists Key.

• It must be used at least once per month.

• If not used within a given month, it will automatically downgrade to a Trial Key.

B. Business Memberships (B2B)

1. The Modernists Business Key

This membership costs £1,500 per year or £150 per month. It includes:

• Four (4) total visits per month for the assigned user.

• Access to the Modernists community.

• Business invoicing.

Businesses may request multiple keys; however:

• Each colleague must apply individually.

• Each application is subject to admin approval.

• The Modernists may accept or reject applicants at its sole discretion.

• Rejected applicants are not entitled to compensation or damages.

7. Business Key – Additional Terms

All Business Key applicants undergo identity and suitability checks.

• The Modernists may reject or revoke Business Key memberships without obligation to provide reasons.

• The Modernists is not liable for business impacts or losses resulting from membership rejection or revocation.

• Application fees (if any) are non-refundable except where legally required.

8. Subscription & Payment Terms

• Memberships renew automatically and are billed monthly or annually.

• Payment is collected at the time of signup.

• Cancellations take effect at the end of the current paid period.

• No refunds are provided for partial months, unused visits, or inactivity.

• All passes expire monthly and do not roll over.

• The Trial Key joining fee is strictly non-refundable.

9. Visit Limits & Access Rules

Members on eligible tiers receive four (4) visits per month.

• The four visits apply across all Venues collectively, not per Venue.

• Each Venue may impose its own rules or limitations, including:

o blackout dates;

o quotas on how often an individual may visit;

o dress codes;

o additional behavioural policies.

Venue access is always subject to Venue discretion and capacity. The Modernists does not guarantee availability.

10. Event Bookings & Cancellation Policy

• All bookings made through the Platform are final.

• Cancellations may be made up to 72 hours before the event start time.

• Cancellations made within 72 hours of the event, or non-attendance, are non-refundable.

• If a Venue or provider cancels an event, we will attempt to reschedule or issue credit, but cash refunds will not be issued unless legally required.

11. Cooling-Off Period

You may cancel a new membership within 14 days of purchase unless you have accessed any membership benefits (including attending an Experience or visiting a Venue). Once benefits have been used, the cooling-off right ends.

• This right does not apply to Business Memberships.

12. Your Account

• Memberships are personal and non-transferable.

• You must not share your account or passes with others.

• You must be 18 years or older.

• Breach of these Conditions may result in suspension or termination without refund.

13. Fees, Billing & Refunds

• All fees are non-refundable except where legally required.

• Prices may change with prior notice.

• Additional charges may apply for special events or bespoke services.

• Payment failures may result in suspension or cancellation of your membership.

14. Promotions

Promotional offers, incentives, and gift vouchers are subject to specific terms and may be withdrawn at any time.

15. Suspension & Termination

The Modernists may suspend or terminate a membership without refund for:

• breach of these Conditions;

• misconduct at any Venue or event;

• fraudulent or abusive behaviour;

• actions likely to harm The Modernists’ reputation.

Termination does not relieve you of outstanding payment obligations.

16. Intellectual Property

All content on the Platform is owned or licensed by The Modernists. You are granted a limited licence for personal use only. Reproduction, distribution, or modification without written consent is prohibited.

17. Disclaimers & Limitation of Liability

• All use of the Platform and Experiences is at your own risk.

• The Modernists is not responsible for the acts, omissions, or conduct of any Venue, provider, or third party.

• To the fullest extent permitted by law, The Modernists disclaims liability for any direct, indirect, incidental, or consequential losses or damages.

Your sole remedy for dissatisfaction is to discontinue use of the Platform.

18. Indemnity

You agree to indemnify The Modernists against any claims, losses, damages, or expenses arising from:

• your use of the Platform or Experiences;

• your conduct at any Venue;

• your breach of these Conditions.

19. Governing Law & Jurisdiction

These Conditions are governed by the laws of England and Wales. You agree that any dispute will be subject to the exclusive jurisdiction of the English courts.

20. Entire Agreement & Severability

These Conditions constitute the entire agreement between you and The Modernists. If any provision is deemed invalid, the remaining provisions will continue in full force. No waiver of any breach shall be considered a waiver of any subsequent breach.
